  • The Outward App is a commercial product for use within your organization.
  • Subscriptions are purchased by your organization and managed by an admin. Nothing auto-renews.
  • Free trials last 14 days. App data is deleted by the end of the following calendar month.

1. Introduction


The Arbinger Institute, LLC, d/b/a The Arbinger Company (“Arbinger,” “we,” “us,” “our”) provides leadership development and outward mindset training services, digital resources, and AI-enabled coaching tools through our website (www.arbinger.com), our portal, and related applications including the Outward App (collectively, the “Services”). These Terms of Service (“Terms”) govern your use of the Services. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

 

2. Access and Use of the Services


2.1 License
Arbinger grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal use, subject to these Terms. Content available on a streaming-only basis may not be downloaded or redistributed unless explicitly permitted within the Services. All rights not expressly granted are reserved.

2.2 Registration
You may be required to register to access certain features of the Services. You agree to provide and maintain accurate, current, and complete account information. If you are under 18 years of age, you may use the Services only with parental or guardian approval.

2.3 Account Security
You are responsible for all activity that occurs under your account. Your account credentials are for your individual use. Please keep them secure and contact us at itsupport@arbinger.com if you believe your account has been accessed by someone else.

2.4 Authentication
You may authenticate using an Arbinger account with email and password, or through a supported third-party identity provider. In either case, Arbinger collects only your first name, last name, and email address for account creation and authentication purposes. When you use a third-party identity provider, we do not receive your password. Your use of a third-party identity provider is subject to that provider’s own terms and privacy policy.

Users who sign in using email and password are subject to two-factor authentication (2FA). Enterprise clients may configure single sign-on (SSO) integration using SAML 2.0.

2.5 Organizational Access and Admin Role
The Services are sold to organizations (“Clients”) on a subscription basis. Clients designate administrators (“Admins”) who manage license assignments and account administration. When you register as an Admin, you accept these Terms both in your individual capacity and on behalf of your organization. Your organization is bound by these Terms through the service agreement or purchase order executed at the time of subscription.

When you receive a license assignment and set up your credentials, you accept these Terms in your individual capacity. Your organization remains responsible for all activity occurring under licenses assigned to its users.

2.6 Modifications to the Services
Arbinger reserves the right to modify or discontinue the Services, or any part thereof, at any time. Where changes materially affect your rights, Arbinger will provide reasonable advance notice.

2.7 Storage and Retention
Please see our Privacy Policy at arbinger.com/privacy-policy for details on how we retain and delete your data.

 

3. Permitted and Prohibited Uses


To protect the integrity of the Services and the experience of all users, the following uses are not permitted:

  • Access the Services using credentials other than your own, or make content available outside the Services.
  • Upload, store, or process regulated data, including Controlled Unclassified Information or classified government data, in any Arbinger system not expressly approved for such data.
  • Use the Outward App or Theo in connection with a federal government contract or for the processing of government data. The Outward App and Theo are commercial offerings. Agency suitability determinations, including any applicable authorization requirements, are the responsibility of the purchasing agency.
  • Attempt to access the Services or any Arbinger systems through unauthorized means.
  • Use AI-enabled features to violate any law, infringe intellectual property or privacy rights, or generate harmful or unlawful content.
  • Use automated access or data extraction methods except as expressly permitted by written agreement with Arbinger.
  • Impersonate any person or entity or misrepresent your affiliation with any organization.
  • Use the Services for any unlawful purpose or in violation of these Terms.

 

4. Arbinger Materials and Intellectual Property


The Services, including all content, software, course materials, training programs, AI models, and methodologies, are the property of Arbinger and are protected by US and international intellectual property laws. The Arbinger Company, D/B/A “The Arbinger Institute, LLC,” is the sole owner of all Arbinger programs, training content, materials, and derivative works.

Except as expressly authorized, you may not copy, modify, distribute, perform, display, create derivative works of, sell, or otherwise exploit the Services or any content. You may print or download materials for personal, non-commercial use only where explicitly permitted within the Services.

Subject to these Terms and the applicable service agreement or purchase order, Arbinger grants Client a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to use the Services and associated materials solely for Client’s internal business purposes.

 

5. Third-Party Services


The Services may interoperate with third-party services, including identity providers, AI infrastructure providers, and other tools. Your use of third-party services is subject to their own terms and policies. Arbinger selects and manages third-party providers subject to confidentiality, security, and data processing obligations consistent with our Privacy Policy.

 

6. Subscriptions and Licenses


The commercial terms governing subscription pricing, billing, renewal, and related matters are set forth in the Terms of Sale in the applicable quote or service agreement. The following summarizes key aspects of the subscription relationship as they affect individual users.

6.1 What’s Included
The Outward App subscription provides access to AI-enabled coaching features, digital course materials, a content library, and daily practice tools for the duration of the subscription term, including all renewal years. Facilitator days and other professional services are separate and are not included in the subscription.

6.2 License Activation
A subscription seat becomes active when the assigned user first accesses their course content in the Arbinger portal. Active seat counts are tracked automatically in the portal and are available to Client Admins and Arbinger account staff.

6.3 Access Duration
Subscription access to all features, including digital course materials, is available throughout the subscription term and continues upon renewal. Continued access is maintained through annual renewal.

6.4 Renewal
Subscriptions renew on their anniversary date. Renewals are managed by the Client’s Arbinger Client Partner. Nothing auto-renews — renewal requires affirmative action by the Client.

6.5 Subscription Commitment
Subscription seat counts are committed for the full term. Seats may be added during the term in accordance with the applicable quote or service agreement. For full commercial terms including pricing, attrition seats, and seat additions, please refer to your quote or service agreement.

6.6 Outward App Trial Access
Arbinger may offer free trials of the Outward App for a period of fourteen (14) days. Trial access is subject to these Terms. At the end of the trial period, access concludes and app data is deleted by the end of the following calendar month. Contact information provided at trial registration may be retained for sales and marketing communications in accordance with our Privacy Policy. Trial users may opt out of marketing communications at any time.

Trial access does not extend to an organizational subscription. An organizational subscription requires a separate purchase through an Arbinger Account Executive.

 

7. Outward App Terms


7.1 General
The Outward App is a web-based application accessible through any modern browser on desktop, tablet, or mobile devices. It may be installed as a shortcut on your device’s home screen. The Outward App is not a native mobile application and is not distributed through any third-party app store.

These Outward App Terms apply to all users of the Outward App, including users accessing Theo, the content library, Outward Connects, and any other tools available within the application, whether on a paid subscription or a free trial.

7.2 Theo—AI-Enabled Coaching
Theo is Arbinger’s AI-powered coaching tool, designed to support individual mindset development and application using Arbinger’s proprietary methodology. Theo is powered by an enterprise AI infrastructure provider under a data processing agreement that prohibits the use of your data to train AI models.

By using Theo, you grant Arbinger and its AI infrastructure providers a limited license to process your inputs and outputs solely to provide the Theo features, ensure security, and comply with applicable law. Your inputs and outputs will not be used to train generalized AI foundation models.

7.3 Theo Is a Coaching Tool, Not Professional Advice
Theo is designed to support your development journey using Arbinger’s outward mindset methodology. Theo’s responses are intended for personal and professional development purposes only. They do not constitute — and should not be relied upon as — professional advice of any kind, including legal, medical, psychological, financial, or tax advice. You are responsible for applying your own judgment when using Theo’s suggestions.

7.4 About AI-Generated Responses
Theo is powered by generative AI. AI systems produce responses based on patterns and context, and responses may occasionally be inaccurate, incomplete, or not suited to your specific situation. Arbinger makes no representations or warranties regarding the accuracy or completeness of AI-generated responses and is not liable for decisions made in reliance on them.

7.5 Not for Emergencies
Theo is not designed or equipped to handle medical, psychological, or mental health emergencies and is not a substitute for professional care. If you or someone you know is experiencing a crisis or emergency, please contact emergency services (911 in the US) or a crisis helpline immediately.

7.6 Scope of Use
The Outward App and all tools within it are commercial offerings for use within your organization. They are not authorized for use in connection with federal government contracts or for the processing of classified, controlled unclassified, or other regulated government data. Agency suitability determinations are the responsibility of the purchasing agency.

 

8. Disclaimers


The Services, including all AI-enabled features, are provided “as is” and “as available.” Arbinger makes no warranties, express, implied, or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, title, or non-infringement. Arbinger does not warrant that the Services will be uninterrupted or error-free.

 

9. Limitation of Liability


To the maximum extent permitted by law, Arbinger will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, or data, arising out of or related to your use of the Services. Arbinger’s total liability for any claims relating to the Services will not exceed the amount paid by Client for the Services in the twelve (12) months preceding the claim, or one hundred US dollars (US$100) if no amounts have been paid.

 

10. Indemnification


You agree to defend, indemnify, and hold harmless Arbinger and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your content; (c) your violation of these Terms; or (d) your organization’s failure to ensure user compliance with these Terms.

US Government end users are excepted from this clause (FAR 52.212-4).

 

11. Copyright Infringement


Arbinger respects the intellectual property of others. If you believe your work has been copied in a way that constitutes copyright infringement, please contact:

12. Termination


Arbinger may suspend or terminate your access to the Services if you violate these Terms, for inactivity, or for other reasons permitted by law. Upon termination, your right to use the Services will cease and Arbinger will handle your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination — including intellectual property, indemnification, disclaimers, and limitation of liability — will survive.

 

13. Governing Law


These Terms are governed by the laws of the State of Utah and the United States of America, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Salt Lake City, Utah for any action arising out of or relating to these Terms.

 

14. Changes to These Terms


Arbinger may update these Terms from time to time. When we do, we will post the updated Terms at arbinger.com/terms-and-conditions and update the “Last Updated” date above. Where changes materially affect your rights, Arbinger will provide additional notice through the Services or by email. Your continued use of the Services after changes are posted constitutes acceptance of those changes.

 

15. General Provisions

  • Entire Agreement: These Terms, together with the applicable service agreement or purchase order and Arbinger’s Privacy Policy, constitute the entire agreement between you and Arbinger with respect to the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
  • Waiver: Arbinger’s failure to enforce any provision does not constitute a waiver of its right to do so in the future.
  • Assignment: You may not assign your rights or obligations under these Terms without Arbinger’s prior written consent.
  • Force Majeure: Neither party will be liable for delays or failures in performance resulting from events beyond their reasonable control, including acts of God, epidemic, or pandemic.
